Important — please read before using the Service
These Terms and Conditions govern your use of the CF Trading Service. By creating an account, taking out a subscription, or using the Service, you agree to these Terms. They include important risk warnings and limits on our liability, and confirm that the Service is general information and software — not regulated investment advice. If you do not agree to these Terms, do not use the Service.
1. About us and these Terms
These Terms and Conditions (“Terms”) are a binding agreement between you and CF Cycle Trading Limited (“CF Trading”, “we”, “our” or “us”), a company incorporated in England and Wales, with its registered office at Carrwood Park, Selby Road, Leeds LS15 4LG.
These Terms apply to your use of the website at cftrading.co.uk and any associated content, indicators, dashboards, signals, member area, briefings, support and other services (together, the “Service”).
These Terms incorporate by reference our Risk Disclosure, Privacy Policy, Cookie Policy, Refund Policy and Delivery Policy. In the event of any conflict between these Terms and another document forming part of our policies, these Terms prevail unless the other document expressly says otherwise.
2. Eligibility
- You must be at least 18 years old to use the Service.
- You must have legal capacity to enter into a binding contract under the law of your jurisdiction.
- You must not be located in a country in which use of the Service is unlawful, or be a person to whom we are prohibited from providing the Service by Applicable Laws (including UK, EU, UN and US sanctions).
- You must use the Service for your own personal trading and educational purposes, unless you have entered into a separate business or institutional agreement with us.
3. Your account
- You must provide accurate, current and complete information when you register, and keep your details up to date.
- You are responsible for safeguarding your account credentials and for all activity under your account. Tell us immediately if you suspect unauthorised access.
- You must not share your account with anyone else or transfer it to anyone else.
- We may suspend or terminate your account where we reasonably believe these Terms have been broken, or where we are required to do so by law.
4. Subscriptions, pricing and payment
- The features and content available to you depend on your subscription tier as described on the pricing page.
- Prices are shown in the currency stated on our website. Taxes (where applicable) are charged in addition unless otherwise stated.
- Subscriptions renew automatically at the end of each billing cycle unless cancelled in your account or by writing to us. We will tell you in advance of any material change to the price or features.
- We accept payment via the payment methods shown at checkout. By providing payment details, you authorise us (and our payment service providers) to charge the subscription fee on each billing date.
- If a payment fails, we may suspend access until the failure is resolved. We may also cancel the subscription after reasonable notice.
5. Free trials
- We may offer a free trial (for example, a 14-day trial) to new customers. The trial gives you access to the relevant features for the trial period at no charge.
- You may need to provide payment details to start the trial. If you do not cancel before the end of the trial, your subscription begins automatically at the price shown at sign-up.
- Free trials are limited to one per customer (and per household where reasonable) and we may withdraw or vary trial offers at any time.
6. Acceptable use
You agree not to:
- use the Service in any way that is unlawful, fraudulent, abusive, harassing, defamatory or otherwise harmful;
- attempt to gain unauthorised access to the Service or to any account, system, network, server or data;
- introduce viruses, malware, scraping bots or any harmful code into the Service;
- reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Service or any underlying software, except to the extent expressly permitted by law;
- copy, modify, distribute, sell, lease, sublicense, redistribute or commercially exploit any part of the Service, the indicators, the content or the underlying intellectual property, except as expressly permitted in these Terms;
- use the Service or our content to develop a competing product, indicator or signal service;
- impersonate any person or misrepresent your affiliation;
- remove or alter any proprietary notice or label on the Service;
- use the Service in any way that interferes with the operation of the Service or other users’ enjoyment of it.
7. Service availability
- We aim to make the Service available with high availability but we do not guarantee uninterrupted, error-free or fault-free operation.
- The Service may be unavailable from time to time due to scheduled maintenance, emergency maintenance, third-party platform outages (including TradingView and our cloud hosting provider) or events outside our reasonable control.
- We will give reasonable notice of scheduled maintenance where practicable. For emergency maintenance we may need to act immediately.
8. Third-party platforms — TradingView
Certain features of the Service (including our indicators) are delivered through the TradingView platform operated by TradingView, Inc. To use those features you need an active TradingView account at an appropriate tier. You are responsible for obtaining and maintaining that TradingView account. The TradingView platform is governed by its own terms and conditions, which apply between you and TradingView. We are not responsible for the availability, accuracy or content of the TradingView platform.
9. Intellectual property
- The Service, the underlying software, the indicators, the dashboards, the content, the look and feel and all related intellectual property rights are owned by us or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own personal trading and educational purposes during your subscription.
- You retain ownership of any content you submit to us (such as feedback or messages), and you grant us a worldwide, royalty-free, non-exclusive licence to use, store and reproduce that content for the purpose of operating and improving the Service.
- You must not register any domain name, trade mark, social-media handle or company name that incorporates or is confusingly similar to any of our brand names.
10. Important risk warnings — please read the Risk Disclosure
The Service is general information, market commentary, education and trading-indicator software. The Service is not regulated investment advice, is not a personal recommendation, and does not take account of your circumstances. Trading involves substantial risk of loss. Past performance is not a reliable indicator of future performance. You may lose some or all of the capital you commit to trading.
You must read our full Risk Disclosure before using the Service. By using the Service, you confirm that you have read and understood the Risk Disclosure, you understand the risks of trading, and you accept full responsibility for your own trading and investment decisions.
11. We are not regulated and we do not give regulated advice
We are not authorised or regulated by the Financial Conduct Authority. We do not carry on regulated activities under the Financial Services and Markets Act 2000 or the Regulated Activities Order 2001. We do not give investment advice, do not assess suitability, and do not provide a personal recommendation. If you want regulated investment advice you should consult an FCA-authorised independent financial adviser.
12. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, timeliness or non-infringement. We do not warrant that the Service will meet your requirements, be uninterrupted, secure or error-free, or that any indicator or content will produce any particular result.
13. Limitation of liability
Nothing in these Terms limits or excludes our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; (iii) breach of your statutory rights as a consumer in respect of digital content where we are a trader (under the Consumer Rights Act 2015); or (iv) any liability that cannot be limited or excluded by law.
Subject to that, and to the maximum extent permitted by law:
- we are not liable for any trading losses, lost profits, lost opportunities, lost data, or indirect or consequential losses arising from your use of the Service;
- we are not liable for any decision you take or do not take in connection with your trading, investing, hedging or use of any financial product, whether or not informed by the Service;
If you are a consumer (within the meaning of the Consumer Rights Act 2015), nothing in this section affects your statutory rights. You will always have remedies in respect of breach of the statutory implied terms applicable to digital content (Sections 33 to 47 of the Consumer Rights Act 2015).
14. Indemnity
You agree to indemnify us against any losses, damages, claims, costs and expenses (including reasonable legal fees) that we suffer or incur arising from: (i) your breach of these Terms; (ii) your misuse of the Service; (iii) your infringement of any third-party rights through use of the Service; or (iv) any claim by a third party arising from content you upload or post via the Service.
15. Termination
- You may cancel your subscription at any time in your account settings or by emailing us. Cancellation takes effect at the end of the then-current billing period (the Refund Policy sets out the cooling-off rights that apply at sign-up).
- We may terminate or suspend your account or access to the Service immediately on written notice if you materially break these Terms (including any breach of Sections 6, 9 or 10), if your payment fails and is not remedied, or if continuing to provide the Service to you would be unlawful.
- On termination, your right to use the Service ends. Sections of these Terms that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnity, governing law and dispute resolution) will survive.
16. Changes to the Service and to these Terms
We may change the Service from time to time, including by adding, modifying or removing features. We may also change these Terms from time to time. Where a change is material to you and disadvantageous, we will give you reasonable notice and you may cancel your subscription before the change takes effect. By continuing to use the Service after the effective date of a change, you accept the change.
17. Privacy and data protection
Our Privacy Policy explains how we collect, use and protect your personal data. By using the Service, you confirm that you have read the Privacy Policy.
18. Complaints
If you have a complaint, please email us at legal@cftrading.co.uk. We aim to acknowledge within 5 business days and resolve within 30 days where possible. If you are a consumer in the United Kingdom and we cannot resolve a complaint, you may be entitled to use the online dispute resolution platform of the European Commission (ec.europa.eu/consumers/odr) or alternative dispute-resolution providers approved under the Alternative Dispute Resolution for Consumer Disputes (Competent Authorities and Information) Regulations 2015.
19. Governing law and jurisdiction
These Terms, and any non-contractual obligation arising out of them, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction in respect of any dispute, except that if you are a consumer in another part of the United Kingdom you may also bring proceedings in your local courts, and we may bring proceedings in the courts of the country where you live.
20. General
- Entire agreement. These Terms (together with the documents incorporated by reference) constitute the entire agreement between you and us in respect of the Service.
- No waiver. A failure to enforce any provision does not waive our right to enforce it later.
- Severability. If any provision is found to be unenforceable, the remainder of these Terms will continue in full force.
- Assignment. You may not transfer your rights under these Terms without our consent. We may transfer our rights on reasonable notice as part of a restructuring or sale of our business.
- No third-party rights. No person who is not a party to these Terms has any right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
